Jack L. Wuerker  has joined the firm as a principal in the Tysons Corner, VA office. Mr. Wuerker will practice in the area of general business law. He has extensive experience representing businesses, including start-up and emerging businesses, with respect to issues of formation, governance, capitalization and financing, licensing, acquisitions and dispositions, and other general corporate, real estate development and transactional matters.
Maryland Corporate Law Revisions discusses several important bills affecting business organizations enacted by the Maryland legislature at its 1999 session that  took effect October 1, 1999. The legislation reflects the efforts of the bar and the legislature to maintain an attractive and flexible body of Maryland law governing business corporations, incorporated and unincorporated real estate investment trusts and investment companies registered under the Investment Company Act of 1940.
Highlights of Senate Bill 169 amending the Corporations and Associations Article of the Maryland Code are discussed. This Bill, that went into effect June 1, 1999, provides to corporations and real estate investment trusts (REITS) important new means by which to defend themselves against unsolicited takeover attempts.
